    Introduction<\/h2>\n

    Indonesia continues to be one of the primary investment destinations in Southeast Asia. For investors seeking to operate legally in Indonesia \u2014 whether domestic or foreign \u2014 establishing a Limited Liability Company (PT) is an unavoidable first step.<\/p>\n

    Under Article 1(1) of the UUPT, a Limited Liability Company (PT)<\/strong> is a legal entity in the form of a capital association, established by agreement, conducting business activities with authorized capital fully divided into shares, and meeting the requirements set forth by law.<\/p>\n

    Under Article 1(1) of the UUPM, capital investment<\/strong> refers to all forms of investment activity \u2014 whether by domestic or foreign investors \u2014 to conduct business within the territory of the Republic of Indonesia.<\/p>\n

    A. Establishing PT PMDN<\/h2>\n

    Under Article 1(2) UUPM, Domestic Capital Investment (PMDN) refers to investment activities conducted by domestic investors using domestic capital.<\/p>\n

    Requirements and Procedures<\/h3>\n
      \n
    1. Founders’ Agreement (Shareholder Agreement)<\/strong> \u2014 company name, address, Board of Directors, Board of Commissioners, shareholders (min. 2), shareholding structure<\/li>\n
    2. Deed of Establishment<\/strong> \u2014 drawn up before an authorized Notary<\/li>\n
    3. Ministerial Decree from Ministry of Law<\/strong> \u2014 ratification through SABH<\/li>\n
    4. Business Identification Number (NIB)<\/strong> \u2014 via OSS-RBA<\/li>\n
    5. Tax Identification Number (NPWP)<\/strong> \u2014 registered at Tax Service Office<\/li>\n
    6. Corporate Bank Account<\/strong> \u2014 for operations and capital contribution<\/li>\n
    7. Special Licenses<\/strong> \u2014 if required by sector<\/li>\n<\/ol>\n

      B. Establishing PT PMA<\/h2>\n

      Under Article 1(3) UUPM, Foreign Capital Investment (PMA) refers to investment activities conducted by foreign investors \u2014 either entirely foreign or in partnership with domestic investors.<\/p>\n

      \n

      Important Note (PP 28\/2025):<\/strong> PT PMA may only be established for large-scale business<\/strong> categories. Foreign investors cannot directly establish a PT PMA for small or medium enterprises (UMK).<\/p>\n<\/blockquote>\n

      PT PMA requires two additional mandatory elements in the founders’ agreement:<\/p>\n

        \n
      1. Specific business field designation<\/strong> based on KBLI<\/li>\n
      2. Business field review under Perpres 49\/2021<\/strong> \u2014 confirming the field is open to foreign investment (not on DNI)<\/li>\n<\/ol>\n

        C. Post-Establishment Compliance Obligations<\/h2>\n

        Founders’ responsibilities do not end at establishment. Key ongoing obligations include:<\/p>\n

          \n
        1. Compliance with capital investment regulations<\/strong><\/li>\n
        2. Compliance with the Negative Investment List (DNI)<\/strong> \u2014 Perpres 49\/2021<\/li>\n
        3. Foreign Manpower compliance (TKA\/RPTKA)<\/strong><\/li>\n
        4. LKPM \u2014 Capital Investment Activity Report<\/strong> \u2014 quarterly submission via OSS to BKPM<\/li>\n
        5. WLKP \u2014 Manpower Report<\/strong> \u2014 to Department of Manpower<\/li>\n
        6. Annual Report via SABH<\/strong> \u2014 mandatory under Permenkum 49\/2025; failure triggers automatic sanctions<\/li>\n<\/ol>\n

          D. Risk Mitigation<\/h2>\n

          Key risks include: manpower compliance errors, reporting negligence (LKPM\/WLKP\/SABH), and technology\/AI compliance. Each carries administrative or criminal sanctions.<\/p>\n

          Conclusion<\/h2>\n

          Establishing a PT in Indonesia \u2014 PMDN or PMA \u2014 is strictly governed by law. PT PMA carries two additional requirements: KBLI designation and DNI review. Post-establishment compliance \u2014 including LKPM, WLKP, and SABH annual reporting \u2014 is not optional.<\/p>\n
