Establishing PT PMDN<\/h2>\n<p>Under Article 1(2) UUPM, Domestic Capital Investment (PMDN) refers to investment activities conducted by domestic investors using domestic capital.<\/p>\n<h3>Requirements and Procedures<\/h3>\n<ol>\n<li><strong>Founders&#8217; Agreement (Shareholder Agreement)<\/strong> \u2014 company name, address, Board of Directors, Board of Commissioners, shareholders (min. 2), shareholding structure<\/li>\n<li><strong>Deed of Establishment<\/strong> \u2014 drawn up before an authorized Notary<\/li>\n<li><strong>Ministerial Decree from Ministry of Law<\/strong> \u2014 ratification through SABH<\/li>\n<li><strong>Business Identification Number (NIB)<\/strong> \u2014 via OSS-RBA<\/li>\n<li><strong>Tax Identification Number (NPWP)<\/strong> \u2014 registered at Tax Service Office<\/li>\n<li><strong>Corporate Bank Account<\/strong> \u2014 for operations and capital contribution<\/li>\n<li><strong>Special Licenses<\/strong> \u2014 if required by sector<\/li>\n<\/ol>\n<h2 style=\"color:#FFFFFF\">B. Establishing PT PMA<\/h2>\n<p>Under Article 1(3) UUPM, Foreign Capital Investment (PMA) refers to investment activities conducted by foreign investors \u2014 either entirely foreign or in partnership with domestic investors.<\/p>\n<blockquote>\n<p><strong>Important Note (PP 28\/2025):<\/strong> PT PMA may only be established for <strong>large-scale business<\/strong> categories. Foreign investors cannot directly establish a PT PMA for small or medium enterprises (UMK).<\/p>\n<\/blockquote>\n<p>PT PMA requires two additional mandatory elements in the founders&#8217; agreement:<\/p>\n<ol>\n<li><strong>Specific business field designation<\/strong> based on KBLI<\/li>\n<li><strong>Business field review under Perpres 49\/2021<\/strong> \u2014 confirming the field is open to foreign investment (not on DNI)<\/li>\n<\/ol>\n<h2 style=\"color:#FFFFFF\">C. Post-Establishment Compliance Obligations<\/h2>\n<p>Founders&#8217; responsibilities do not end at establishment. Key ongoing obligations include:<\/p>\n<ol>\n<li><strong>Compliance with capital investment regulations<\/strong><\/li>\n<li><strong>Compliance with the Negative Investment List (DNI)<\/strong> \u2014 Perpres 49\/2021<\/li>\n<li><strong>Foreign Manpower compliance (TKA\/RPTKA)<\/strong><\/li>\n<li><strong>LKPM \u2014 Capital Investment Activity Report<\/strong> \u2014 quarterly submission via OSS to BKPM<\/li>\n<li><strong>WLKP \u2014 Manpower Report<\/strong> \u2014 to Department of Manpower<\/li>\n<li><strong>Annual Report via SABH<\/strong> \u2014 mandatory under Permenkum 49\/2025; failure triggers automatic sanctions<\/li>\n<\/ol>\n<h2 style=\"color:#FFFFFF\">D. Risk Mitigation<\/h2>\n<p>Key risks include: manpower compliance errors, reporting negligence (LKPM\/WLKP\/SABH), and technology\/AI compliance. Each carries administrative or criminal sanctions.<\/p>\n<h2 style=\"color:#FFFFFF\">Conclusion<\/h2>\n<p>Establishing a PT in Indonesia \u2014 PMDN or PMA \u2014 is strictly governed by law. PT PMA carries two additional requirements: KBLI designation and DNI review.
