However, the label used in a proposal or agreement does not by itself determine the parties’ legal position, liability, licensing obligations, or tax treatment.

The more important question is how the cooperation will actually operate. Who will sign customer contracts? Who will receive payments, hold assets, employ personnel, obtain licences, and bear losses? The answers may determine which legal structure should be used.

Joint Venture Through a Limited Liability Company

In this article, a joint venture or JV refers to cooperation conducted through a limited liability company whose shares are owned by the participating partners.

The company becomes a separate business vehicle with its own shareholders, Board of Directors, Board of Commissioners, assets, contracts, and licences. The relationship among the partners is commonly governed by the articles of association, resolutions of the company’s organs, and a shareholders’ agreement.

This structure is generally considered when the cooperation is intended to continue for the longer term and requires joint investment, employees, assets, financing, brands, or licences held by one business vehicle.

If the structure involves direct foreign investment, it must also be reviewed against Indonesia’s investment laws, business-sector requirements, foreign ownership limitations, and the applicable business licensing regime.

Establishing a company does not resolve every risk. The parties must still regulate corporate control, funding obligations, strategic decisions, restrictions on share transfers, deadlock, and exit mechanisms.

Joint Operation or Kerja Sama Operasi

A joint operation or JO is commonly implemented through a Kerja Sama Operasi or KSO agreement. The parties retain their respective business entities while combining selected capabilities for a joint project or activity.

A KSO does not automatically become a separate legal entity in the same manner as a limited liability company. The agreement should therefore clearly identify who may represent the cooperation, sign contracts, use assets, invoice customers, and assume exposure to third parties.

It is also incorrect to assume that a KSO is always simple from a tax perspective. Minister of Finance Regulation No. 79 of 2024, as amended by Minister of Finance Regulation No. 11 of 2025, regulates the tax treatment of a KSO by reference to the agreement and the way the cooperation is implemented. Certain KSOs must obtain a Taxpayer Identification Number as a corporate taxpayer, while other KSOs discharge their tax rights and obligations through their respective members.

The obligation to register as a taxable entrepreneur also has separate criteria. Invoicing, revenue collection, member contributions, and expense payments should therefore be reviewed before operations begin.

The Difference Goes Beyond Whether a Company Is Established

The choice between a JV and JO may affect:

the party entering into contracts with customers;

ownership and use of assets;

control over business decisions;

the holder of business and sectoral licences;

invoicing, revenue collection, and tax obligations;

liability to customers and other third parties; and

how a party may exit or the cooperation may be terminated.

An internal allocation of responsibility under a JO agreement does not necessarily limit claims by third parties. Customer contracts, tender documents, guarantees, and sectoral rules may impose a different allocation of responsibility.

For a JV, limited shareholder liability at the company level should not be treated as absolute protection. Indonesia’s Company Law identifies circumstances in which limited shareholder liability does not apply.

The Risk of Choosing Based Only on the Name or Formation Cost

A JV is not necessarily safer merely because it uses a company. A JO is not necessarily more efficient merely because no new company is incorporated.

A structure chosen without adequate analysis may create problems when:

the party signing the principal contract is not the licence holder;

the lead member lacks sufficient authority to bind the other members;

the revenue allocation is inconsistent with the invoicing structure;

a foreign party performs activities requiring a particular business form or licence;

liability to customers is broader than the parties’ internal allocation; or

the exit mechanism cannot be implemented after the relationship deteriorates.

These issues often become visible only after customer contracts have been signed, capital has been committed, or a dispute has arisen.

Questions to Answer Before Choosing

Before choosing a JV or JO, the parties should at least determine:

who will act as the business operator and contracting party under the principal contract;

who will obtain and hold the required licences;

how revenue, costs, profit, and losses will be allocated;

how authority and liability to third parties will be divided;

whether the arrangement involves foreign investment or a foreign business entity; and

how the cooperation will end when the project is completed or a party wishes to exit.

The answers must be tested against the transaction documents, business activities, industry sector, ownership structure, and intended operating model. No single structure is suitable for every project.

Conclusion

The difference between a JV and JO is not merely whether the parties incorporate a company or sign a cooperation agreement. The choice determines who operates the business, holds licences, receives revenue, bears obligations, and controls the exit process.

An unsuitable structure may affect contracts, licensing, taxation, liability, and project continuity. The assessment should therefore be completed before the parties settle the commercial structure or sign the principal documents.

Prasetyo Law Office

Prasetyo Law Office is a Jakarta-based Indonesian law firm providing integrated legal services across commercial transactions and cross-sector disputes.
